1. (DCP) Different Colour Productions Ltd Terms and Conditions

The following are the standard terms and conditions for Website Design and Website Development work and apply to all work completed by (DCP) Different Colour Productions Ltd for our clients.

2. Website Design and Development Quotes and Specifications

All quotes and specifications are provided free of charge by (DCP) Different Colour Productions Ltd based on information provided by you.

3. Content for Website Design and Development

You will be required to supply all content required to complete your website based on the supplied specification and quote. The content required may include, but not limited to, images, photography, written content, video content and logos. If there is a delay in supplying these materials to (DCP) Different Colour Productions Ltd, we have the right to extend deadlines which are outlined in the specification and quote by a reasonable amount. If you fail to supply agreed on materials which prevent (DCP) Different Colour Productions Ltd from completing your project, we reserve the rights to invoice you for any part or parts of work which has been already completed.

4. Project Development Delays and Client Liability

Time frames for work to be completed are based upon your co-operation to complete the project(s). We expect there will be a certain amount of feedback required in order to make progress on your web projects. We require a single point of contact to be appointed by you and be made available on a daily basis to ensure your project is delivered on-time.

5. Changes to Your Requirements

(DCP) Different Colour Productions Ltd offers you (Client) the opportunity to give us feedback on any artwork produce. (DCP) Different Colour Productions Ltd allow a reasonable amount of revision to artwork where required. We reserve the rights to charge additional fees if you make changes to the original agreed specification which affects the overall design concept.

6. Website Warranty

(DCP) Different Colour Productions Ltd offers you a 1-year website warranty to give you peace on mind. Any issues which arise will be fixed free of charge by (DCP) Different Colour Productions Ltd. Warranty is void if any development work on the website is undertaken by third party web developers who are not affiliated with (DCP) Different Colour Productions Ltd.

7. Ecommerce Web Development

You (Client) must ensure you are complying with all laws relating to any eCommerce website developed by (DCP) Different Colour Productions Ltd. You agree to indemnify (DCP) Different Colour Productions Ltd from any claims, tax penalties or damages arising from your eCommerce online sales activities.

8. Search Engines

(DCP) Different Colour Productions Ltd does not guarantee specific positions in search engine results for any website created. We offer free level 1 search engine optimisation according to current search engine optimisation best practices.

9. Consequential Loss

(DCP) Different Colour Productions Ltd shall not be liable for any loss or damage which you (client) may suffer which may be caused but limited to website downtime, application errors or completion of website development.

10. Cross-Browser Compatibility

(DCP) Different Colour Productions Ltd will design and develop your website using current trends and up-to-date technology. Our goal is to ensure your website is fully functional on the latest version of web browsers as follows: Google Chrome, Mozilla Firefox, Safari and Microsoft Edge. Old and obsolete web browsers may not be compatible with your website.

11. Website Ownership & Licensing

(DCP) Different Colour Productions Ltd reserves full rights over any website developed until you have made full payments for all work completed. You will have full ownership of the website once all your payments have cleared. You (Client) must request permission before any websites created by (DCP) Different Colour Productions Ltd can be replicated or distributed to any third parties. All websites developed for you (Client) are single license authorised unless prior agreements have been made between (DCP) Different Colour Productions Ltd and you (client). (DCP) Different Colour Productions Ltd grants you the (client) permission to make a copy of the website for future development purposes only. Project licenses can be transferred to new owners if at any time the future if your business is sold.

12. Third-Party Integration

(DCP) Different Colour Productions Ltd grant you (client) the rights to integrate any website development project completed by (DCP) Different Colour Productions Ltd into third party systems which may include but not limited to APIs, CRM System, Websites, Databases, Social Media Platforms and Mobile Apps. You (client) must take full responsibility for any development work undertaking on the website by web developers who are not affiliated with (DCP) Different Colour Productions Ltd.

13. Back-Up Website Data

(DCP) Different Colour Productions Ltd will provide a monthly website back up for website projects which are hosted on (DCP) Different Colour Productions Ltd dedicated web servers. You (client) must take full responsibility for implementing a backup procedure for websites which are not hosted on (DCP) Different Colour Productions Ltd dedicated web servers.

14. Third-Party IP Indemnity

(DCP) Different Colour Productions Ltd indemnifies you (client) from any breach of third-party IP. Indemnification only applied to third-party IP used by (DCP) Different Colour Productions Ltd for development of website projects commission by you (client).

15. GDPR

(DCP) Different Colour Productions Ltd will only access user data for the purpose of web development and testing. (DCP) Different Colour Productions Ltd will not send any emails to user data which is not related to the scope of commissioned website project by you (client).

16. Termination of Contract

Termination on Notice: Either party may terminate this agreement for any reason on 30 Business Days’ written notice to the other party.

Termination for Insolvency: If either party becomes insolvent, bankrupt, or enters receivership, dissolution, or liquidation, the other party may terminate this agreement with immediate effect.

Payment Obligations: Even after termination or expiration of this agreement, each party shall pay any amounts it owes to the other party, including payment obligations for services already rendered, work already performed, goods already delivered, or expenses already incurred, and refund any payments received but not yet earned, including payments for services not rendered, work not performed, or goods not delivered, expenses forwarded.

No Further Liability: On termination or expiration of this agreement, neither party will be liable to the other party, except for liability that arose before the termination or expiration of this agreement.

17. Contract Governance

The contract outlined above between (DCP) Different Colour Productions Ltd and you (client) will be governed by the exclusive jurisdiction of English courts.
